Silver Plan – Terms of Service Agreement

1. Scope of Services

Listenza provides lead generation and marketing support designed to connect Clients with qualified, interested, and exclusive home seller leads. Leads are generated and delivered based on the Client’s selected market preferences and criteria.

2. Payment Terms

Sign-Up Fee

A one-time, non-recurring setup fee of $900 USD is due upon signing this Agreement.

Reimbursement Option

The Client may deduct the $900 setup fee from their first successful closing generated directly from a Listenza-provided lead.

Referral Fee

For any closed real estate transaction (buying or selling) resulting from a Listenza-provided lead, the Client agrees to pay a 15% referral fee based on the Client’s net commission after broker split.

Payment Authorization

By submitting payment, the Client authorizes Listenza’s secure, PCI-compliant payment processor to charge the agreed amount. Listenza does not store, process, or access credit or debit card information directly.

3. Lead Delivery

  • The first qualified lead will be delivered within 30 days of the Agreement start date.

  • A total of 18 exclusive seller leads will be delivered within 180 days.

Qualified Lead Definition

A lead is considered qualified if it meets all of the following criteria:

  • Located within the Client’s selected target market.

  • Has expressed intent to sell within 1–3 months.

  • Is the legal property owner or an authorized decision-maker.

  • Has provided consent to be contacted by the Client.

Replacement Policy

Leads that are non-homeowners, clearly uninterested, or unreachable after three (3) contact attempts within seven (7) days) may be reviewed. If validated by Listenza, one (1) replacement lead will be issued within the contract period.

Listenza retains sole discretion to determine lead validity based on communication records, system logs, and internal verification processes.

4. Client Responsibilities

The Client agrees to:

  • Promptly contact each lead provided.

  • Maintain consistent, professional, and ethical follow-up practices.

  • Provide accurate feedback regarding lead quality and engagement status when requested.

Leads provided by Listenza are for the Client’s exclusive use only and may not be resold, shared, transferred, reassigned, or redistributed under any circumstances.

Failure to provide feedback within seven (7) days of lead delivery will result in the lead being deemed valid and accepted by the Client.

5. Refunds, Disputes & Agreement Duration

Refund Eligibility

  • Refund requests must be submitted within 30 days of the Agreement start date.

  • Refunds are only available if no qualified lead has been delivered during this period.

  • Eligible refunds are limited to 50% of the setup fee.

  • Approved refunds will be processed within 60 business days.

Refund Exclusions

  • No refunds will be issued once at least one qualified lead has been delivered.

  • No refunds will be issued if the Client fails to follow up with leads in good faith.

  • No disputes or refund claims will be accepted after the initial 30-day period.

Agreement Term

This Agreement remains active for 180 days from the date of signing.

Ongoing Obligations

The referral fee obligation remains enforceable for any future transaction that results from Listenza-provided leads, up to six (6) months after the lead has been provided, even if the initial 180-day term has expired.

6. Support & Tools

Standard Support

Up to 10 hours per business day of email and chat support.

Included Tools & Features

  • Lead tracking via a shared Google Spreadsheet

  • Appointment scheduling support

  • Lead call recordings for quality assurance and follow-up reference

Exclusions

This plan does not include the following unless explicitly added as a paid upgrade:

  • Paid advertising

  • Social media management

  • WhatsApp support

  • Live call transfers

  • Monthly performance reports

7. Holiday Observance

Listenza observes all official U.S. national public holidays. Support and lead delivery services may be paused during these periods, and service timelines will be adjusted accordingly.

If additional time off is required beyond national holidays, Clients will be notified at least seven (7) days in advance.

8. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary, business, and client information. No information may be shared, copied, sold, or disclosed to any third party without prior written consent, except where required by law.

9. Limitation of Liability

Listenza shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of its services or provided leads.

All business decisions, follow-up actions, negotiations, and transaction outcomes remain the sole responsibility of the Client.

10. Entire Agreement

This Agreement constitutes the complete and exclusive understanding between Listenza and the Client and supersedes all prior communications, representations, or agreements, whether written or oral.

Any modifications must be made in writing and signed by both parties.

Payment Authorization

By submitting payment for this plan, the Client authorizes Listenza to process the agreed amount through its secure, PCI-compliant payment processor.

The Client confirms that:

  • All payment details are entered directly on the processor’s secure platform.

  • Listenza does not store or access card information.

  • The Client fully understands and accepts all payment, referral, refund, and service terms outlined in this Agreement.
